Terms of Service

AGREEMENT TO OUR LEGAL TERMS. These terms (the "Legal Terms") are an agreement between you and Fast File Exempt LLC ("Company," "we," "us" or "our"), 2108 N St. #15941, Sacramento, CA 95816, covering the website at https://www.fast-file-exempt.com (the "Site") and our electronic filing service (together, the "Services"). You can reach us at support@fast-file-exempt.com. By creating an account or using the Services, you agree to these Legal Terms for yourself and for the organization you represent. They require binding individual arbitration of disputes and waive jury trials and class actions, as set out under DISPUTE RESOLUTION. If you do not agree, do not use the Services.

1. OUR SERVICES

The Services are used to file exempt organization returns, notices and extension requests electronically with the Internal Revenue Service ("IRS"). The Site lists the filings currently available, and that list may change. A filing or feature marked "Coming soon" is not available, and you must not rely on it to meet an obligation or a deadline.

The Company is an Authorized IRS e-file Provider. That authorization is not an endorsement by the IRS or the United States Treasury. We transmit only filings you have authorized. The IRS alone decides whether to accept a filing, and neither our provider status nor your use of the Services assures acceptance.

The Company does not provide tax, legal or accounting advice. Guides, explanations and automated checks are general information and software features, not advice about your organization. You are responsible for choosing the right filing, deciding how to report, and identifying and supplying every required schedule and statement.

2. INTELLECTUAL PROPERTY RIGHTS

As between you and the Company, you own the information and documents you provide ("Your Materials"). You permit the Company to host, copy, read, extract, format and otherwise process Your Materials, including through the service providers described in the Privacy Policy, only as needed to provide the Services, transmit filings you authorize, answer support requests and meet recordkeeping obligations. This permission transfers no ownership and does not allow us to sell your information.

The Company and its licensors own the Services, including their software, branding and content. While you comply with these Legal Terms, you may use them through the Services for their intended purpose. You may keep and use the prepared filings produced for you. The Company claims no ownership of IRS forms.

3. USER REPRESENTATIONS

By using the Services, you represent that you are at least 18 years old, that you are acting for business purposes, and that you have authority to act for the organization whose information you provide. In these Legal Terms, "you" and "your" mean both the individual using the Services and the organization that individual represents.

Access to an organization's account or records does not by itself give you authority to sign or submit a filing for it. You must confirm the scope of your authority and obtain the organization's consent before preparing or submitting information on its behalf. You must also have permission to provide information about other people, including those named in the organization's records or filings.

You are responsible for the accuracy and completeness of each filing, including organization details, financial amounts, officer information, contributor details, schedules and statements. Before you authorize a filing, you must review every part of it against your records and correct any errors or omissions. Text extraction can misread, omit or misclassify information, and a successful upload or a passed software check does not mean a filing is complete or correct.

The Services are for self-prepared returns. A return completed by a paid preparer may not be filed through the Services. The Company may refuse any filing that breaks this rule or exceeds an enforced usage limit.

4. USER REGISTRATION

You must provide accurate account and organization information and keep your email address current so that filing notices reach you. You must keep your credentials confidential, protect the devices you use to sign in, and tell us promptly if you suspect unauthorized access. You are responsible for all activity under your account, including activity by anyone you give access to.

An organization may have several members. You must keep its membership limited to people who are currently authorized. Removing a member does not withdraw a filing already transmitted or require us to delete records we must keep.

5. PURCHASES AND PAYMENT

Fees are shown before you pay and are charged through our payment processor at checkout. For a filing that requires a signature, checkout comes before attachments are added and the filing is authorized; for a filing that does not, completing checkout submits it. You authorize the charge shown at checkout and may use only a payment method you are entitled to use. Fees may change, but you are charged the amount shown at checkout. A failed or reversed payment does not cancel a filing already transmitted to the IRS, and you remain responsible for its fee.

Account credits and vouchers have no cash value and cannot be transferred. This includes a credit bought together with an extension request for the return that extension covers. A filing paid for with a credit or voucher must still be prepared, reviewed and authorized, and holding a credit or voucher does not satisfy a filing obligation or extend a deadline.

The Company does not collect tax payments or forward them to the IRS or any state, and will refuse a filing that includes a tax payment. You are responsible for paying any tax directly and on time. A service fee, credit or voucher is never a payment of tax.

6. CANCELLATION

Fees are charged at checkout. Once a filing has been transmitted, its fee is non-refundable except where the law requires otherwise. There are no self-serve refunds. We consider refund requests individually, including requests about a filing we could not transmit, but considering a request is not a promise to refund.

You may stop using the Services at any time and may ask support to close your account. Closing an account or requesting a refund does not stop, withdraw or change a filing already transmitted. Correcting and resubmitting a filing the IRS rejects is covered under CORRECTIONS and costs nothing extra.

7. PROHIBITED ACTIVITIES

You may use the Services only for lawful, authorized preparation and filing, and the Company may refuse any upload or filing that violates these Legal Terms. In particular, you must not:

  • submit a false filing, impersonate any person or organization, or use an EIN or records you have no right to use;
  • scrape the Services, access or try to access another user's data, or probe or bypass access controls;
  • circumvent enforced usage limits, introduce malicious code, or interfere with the operation of the Services; or
  • open another account to evade a suspension.

8. SERVICES MANAGEMENT

The Company may refuse uploads or filings that violate these Legal Terms, including the requirement that returns be self-prepared, and may suspend or terminate access on the grounds listed under TERM AND TERMINATION.

9. PRIVACY POLICY

Our Privacy Policy, at https://www.fast-file-exempt.com/privacy, is part of these Legal Terms. It explains how we collect, use, protect, disclose and retain account and return information, including processing by service providers, which it identifies by role.

Authority to use an organization's records does not release you from confidentiality obligations or give you access to anyone else's confidential return. Account closure and requests to remove information are subject to the retention rules in the Privacy Policy and under USER DATA.

10. TERM AND TERMINATION

These Legal Terms apply for as long as you use the Services. The Company may suspend or terminate your access for non-payment, fraud, abuse, unauthorized access or violation of these Legal Terms, or where needed to protect the Services or comply with the law. You may stop using the Services at any time; to close your account, contact support.

Suspension, termination or closure does not cancel amounts you owe, undo a transmission or extend a filing deadline. Provisions that by their nature should survive continue to apply, including the permissions needed for required record retention, the disclaimers, the limitations of liability, indemnification and governing law.

11. MODIFICATIONS AND INTERRUPTIONS

The filings available through the Services may change, and planned availability is not a commitment that a filing or feature will be ready before your deadline. The Company does not promise uninterrupted or error-free service. Reminder emails are a convenience; your deadlines remain your responsibility.

If IRS systems are unavailable, we hold filings and transmit them when the IRS is available again. Holding a filing does not extend a statutory deadline and is not IRS acceptance. Claims about an interruption are subject to the DISCLAIMER and LIMITATIONS OF LIABILITY sections.

We may change these Legal Terms by posting a revised version with a new effective date, and we will email you about material changes. Changes apply only going forward. By continuing to use the Services after the new effective date, you accept the revised Legal Terms.

12. GOVERNING LAW

These Legal Terms and any dispute about the Services are governed by the laws of the State of California and by the Federal Arbitration Act ("FAA"), without regard to conflict-of-law rules. For any matter that is not arbitrated under DISPUTE RESOLUTION, you and the Company agree to the exclusive jurisdiction of the state and federal courts in Sacramento County, California, except as DISPUTE RESOLUTION provides for small claims and injunctions.

13. DISPUTE RESOLUTION

Informal negotiations. You and the Company (each a "Party") will first try to resolve informally any dispute, claim or controversy arising out of or relating to these Legal Terms or the Services (a "Dispute"). Negotiations begin when one Party sends the other written notice and must continue for at least 30 days before either Party starts arbitration. This requirement does not apply to the small-claims and injunction exceptions below.

Binding arbitration. A Dispute that informal negotiations do not resolve will be decided by binding individual arbitration under the FAA, administered by the American Arbitration Association under its Commercial Arbitration Rules before a single arbitrator. The seat of arbitration is Sacramento County, California, and hearings may be held by video conference where the rules allow. The award is final and may be entered as a judgment in any court with jurisdiction.

Exceptions. Either Party may instead bring an individual claim in small claims court. Either Party may also ask a court for an injunction to protect intellectual property or to stop unauthorized use of the Services. Neither exception permits a class or representative proceeding.

Individual proceedings and waivers. YOU AND THE COMPANY EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of different users or award relief to anyone other than the individual party in the arbitration. Arbitration fees and costs are allocated under the administering rules, and the arbitrator may award reasonable attorneys' fees and costs to the prevailing party where the law permits.

Waiver enforceability. A court, not the arbitrator, decides whether the waivers in this section are enforceable. If the class-action waiver is unenforceable for a particular claim, that claim will be decided by a judge without a jury in the state or federal courts in Sacramento County, California, and this section continues to govern all other claims.

14. CORRECTIONS

You must correct inaccurate, incomplete or misclassified information before you authorize a filing. Once transmitted, a filing cannot be stopped, withdrawn or changed through the Services. The IRS decides whether to accept or reject it, and we email you their acknowledgement. Submitting, paying for or signing a filing is not IRS acceptance.

If the IRS rejects a filing, you may correct and resubmit it at no additional charge. A resubmission keeps the original filing date only if it meets the IRS requirements for correcting rejected filings. Meeting those requirements, reviewing the corrected information and authorizing the resubmission are your responsibility. The right to resubmit does not assure acceptance or extend a statutory deadline.

15. DISCLAIMER

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT TEXT EXTRACTION WILL BE ACCURATE, THAT THE IRS WILL ACCEPT ANY FILING, OR THAT A FILING WILL BE COMPLETED BY A PARTICULAR DATE.

YOU ARE RESPONSIBLE FOR YOUR FILING DECISIONS AND DEADLINES. THE COMPANY IS NOT LIABLE FOR PENALTIES, INTEREST OR OTHER CONSEQUENCES OF INACCURATE, INCOMPLETE OR LATE INFORMATION YOU PROVIDE. NOTHING IN THE SERVICES IS TAX, LEGAL OR ACCOUNTING ADVICE ABOUT YOUR ORGANIZATION. THESE LEGAL TERMS DO NOT EXCLUDE ANY WARRANTY OR LIABILITY THAT APPLICABLE LAW DOES NOT ALLOW TO BE EXCLUDED.

16. LIMITATIONS OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO A FILING IS LIMITED TO THE FEE YOU PAID THE COMPANY FOR THAT FILING, OR $10 IF YOU PAID NOTHING FOR IT. FOR ANY CLAIM RELATING TO THE SERVICES OR THESE LEGAL TERMS THAT IS NOT TIED TO A FILING, THE COMPANY'S TOTAL LIABILITY IS LIMITED TO $10.

THE COMPANY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST BUSINESS OR LOSS OF DATA, EVEN IF TOLD THAT SUCH LOSSES WERE POSSIBLE. THESE LIMITATIONS APPLY UNDER ANY LEGAL THEORY. THEY DO NOT LIMIT LIABILITY FOR FRAUD, WILLFUL MISCONDUCT OR ANY MATTER THAT CANNOT LAWFULLY BE LIMITED.

17. INDEMNIFICATION

To the extent the law allows, you will defend and indemnify Fast File Exempt LLC and its officers, employees and agents against third-party claims, damages and reasonable legal costs arising from your filings, your unauthorized use of another person's information, your unlawful conduct or your breach of these Legal Terms. This obligation does not cover losses caused by the Company's own breach, negligence or willful misconduct.

We will notify you of any claim for which we seek indemnification and will cooperate reasonably in its defense. You may not settle a claim in a way that admits fault for the Company or imposes obligations on it without our written consent.

18. USER DATA

We keep transmitted filings and IRS acknowledgements while your account exists and for as long as IRS e-file provider rules require. Uploaded documents and unfinished drafts are deleted on the schedules stated in the Privacy Policy. Keep your own copies of your records and filings; the Services are not long-term storage.

Closing an account does not withdraw a transmitted filing, cause the IRS to delete their records, or require us to delete records we need for tax, legal or security reasons. One organization member cannot direct the deletion of records the organization is required to keep. The permissions needed to keep those records continue after closure for that purpose.

19. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to receive agreements, notices and records electronically and to sign electronically. To the extent the law allows, electronic records and signatures satisfy any requirement that they be in writing. You must keep your account email address current so that notices reach you, including IRS acknowledgements and notice of material changes to these Legal Terms.

A return or notice may be transmitted only after an authorized officer signs it electronically. Each signer must have authority to sign, must review the information the signature covers, and must not sign a filing they know to be inaccurate or incomplete. Consenting to electronic signatures does not give you signing authority you otherwise lack.

The IRS requires no signature on an electronically filed extension request, so paying for an extension filed on its own authorizes its transmission at the moment of payment. Like any other filing, it cannot be stopped, withdrawn or changed once transmitted, and payment is not IRS acceptance.

20. CALIFORNIA USERS AND RESIDENTS

If a complaint about the Services is not resolved to your satisfaction, California users and residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210 or (916) 445-1254. This does not change the small-claims and injunction exceptions under DISPUTE RESOLUTION.

21. MISCELLANEOUS

These Legal Terms and the Privacy Policy are the entire agreement between you and the Company about the Services and replace any earlier agreement on that subject. If we do not enforce a provision, we have not waived it. If a provision is unenforceable, the rest remain in effect, except as DISPUTE RESOLUTION provides for its waivers.
